By participating in the Vice City CONNECT consumer referral program (the “Referral Program”), you acknowledge and agree to be bound by these terms and conditions (the “Referral Terms”), which are in addition and subject to the Vice City CONNECT General Terms and Conditions, Privacy Policy, and Terms and Conditions for Promotional Offers and Credits. If you do not agree to the Referral Terms, please do not participate in the Referral Program. Vice City CONNECT reserves the right to change these Referral Terms at any time, and any updated version of the Referral Terms will be posted at https://connect.vicecityshops.com/store/referral/terms/. Your continued participation in the Referral Program after Vice City CONNECT has posted an updated version of the Referral Terms constitutes your agreement to the updated version, and the updated version will be effective as of the time of posting or on such later date as may be specified in the updated version. In addition, Vice City CONNECT reserves the right to (1) modify or terminate the Referral Program at any time and in any manner without notice to you, in whole or in part; and (2) remove you from the Referral Program if Vice City Shops suspects you have engaged in fraudulent activity or determines, in its sole discretion, that you have abused the Referral Program or violated these Referral Terms or any other applicable agreement between you and Vice City CONNECT. “Vice City CONNECT” means Vice City Shops Network, Inc., a Delaware corporation, and its subsidiaries and affiliated companies. “You” means a Referrer or New User, as defined below.

The Referral Program governs how a currently registered user of the Vice City CONNECT platform in good standing (a “Referrer”) can receive Vice City CONNECT credit (“Referral Credit”) by referring a friend or family member to register as a new user of the Vice City CONNECT platform and meet certain other requirements (a “New User”), as more fully described below. The Referral Program is only available to users of the Vice City CONNECT platform.

Referrers

A Referrer will receive Referral Credit for each “Qualified Referral,” which occurs when all of the following conditions are met:

1. The Referrer provides the Referrer’s unique referral link (the “Referral Link”) directly to the New User through email, text, or the Share Your Link option.
2. The New User (a) registers on the Vice City CONNECT platform using the Referral Link provided to the New User by the Referrer; and (b) meets the offer requirements set forth in the Referral Link, which typically includes placing an order on the Vice City CONNECT platform with a certain minimum subtotal (excluding taxes and fees).
3. At the time of registering on the Vice City CONNECT platform, the New User is located in the same country as the Referrer.
4. The New User has not previously registered on the Vice City CONNECT platform.
5. The New User and Referrer are not the same person.
6. Vice City Shops does not suspect that the Referrer or the New User have engaged in fraudulent activity.
7. The Referrer has not reached the Referral Cap as defined below.

If Vice City Shops determines, in its sole discretion, that any of the above conditions have not been met and the Referrer has already received Referral Credit, Vice City Shops reserves the right to revoke such Referral Credit.

A Referrer can only receive Referral Credit in connection with the following number of Qualified Referrals (the “Referral Cap”):

• 10 Qualified Referrals if the Referrer is located in the United States or Canada.
• 5 Qualified Referrals if the Referrer is located in Australia or New Zealand.

The amount of Referral Credit that can be received for each Qualified Referral varies and may also vary over time, and will be stated in the Referrer’s Vice City CONNECT account (in the area where the Referrer can access the Referral Link).

A Referrer will not receive Referral Credit, or Referral Credit may be revoked, if Vice City CONNECT determines, in its sole discretion, that:

• Any Qualified Referral condition set forth above has not been met;
• The Referrer posted the Referral Link on a publicly accessible website such as, but not limited to, Google, Craigslist, Twitter, and RetailMeNot;
• The Referral Credit was received in connection with a New User who has previously created a Vice City CONNECT account, even if such other account was created using a different email address, phone number, or other information; or
• The Referral Credit was received erroneously, fraudulently, illegally, or in violation of these Referral Terms or any other applicable agreement between you and Vice City CONNECT.

Referral Credits are subject to the Vice City CONNECT Terms and Conditions for Promotional Offers and Credits, as applicable.

New Users

A New User who registers on the Vice City CONNECT platform using a Referral Link will be eligible for the offer stated in the Referral Link as long as Vice City CONNECT determines, in its sole discretion, that all of the following conditions are met:

1. The New User meets the requirements stated in the offer and the offer has not expired, if applicable.
2. Vice City CONNECT does not suspect that the New User has engaged in fraudulent activity.
3. The Referrer who provided the Referral Link to the New User has not reached the Referral Cap.
4. The Referrer’s Vice City CONNECT account is active and Vice City Shops does not suspect that the Referrer has engaged in fraudulent activity.
5. All of the Qualified Referral conditions set forth above have been met.

Final eligibility for the New User’s offer will be determined at checkout.
